ChitPro is licensed software. Source code, database, server infrastructure and deployment credentials are not included with the standard software license.

1. Software License

ChitPro is a proprietary software product owned and developed by Vivina Solutions.

The software is provided to the client under a limited, non-exclusive, non-transferable, non-sublicensable right to use the software for the client's authorized business operations.

Payment for the software does not constitute a sale or transfer of:

Source code
Database structure or database files
Server infrastructure
Server credentials
Hosting account
Deployment environment
Software intellectual property
Copyright
Proprietary algorithms
Backend services
API source code
Development tools or internal configurations

All intellectual property rights remain with Vivina Solutions unless a separate written agreement expressly states otherwise.

2. Source Code and Database

The ChitPro source code and database are proprietary assets of Vivina Solutions.

The client will not receive or obtain the source code, database files, database credentials, backend source code, server credentials, deployment configuration, or development environment as part of the normal software license.

The client shall not attempt to:

Copy the software
Reverse engineer the software
Decompile or disassemble the software
Extract or reproduce the source code
Copy the database structure for creating a competing system
Circumvent software security or licensing mechanisms
Access restricted server infrastructure
Modify the software independently

Any special source-code transfer, database transfer, server handover, or ownership arrangement must be covered by a separate written agreement and commercial quotation from Vivina Solutions.

3. Server and Hosting

The ChitPro application infrastructure/server is managed and controlled by Vivina Solutions or its authorized service provider.

Server access will not be provided to the client under the standard software license.

The client will not receive:

Root/server access
SSH access
Hosting control-panel access
Database server access
Backend server access
Deployment credentials
Server configuration access

Server security, deployment, application configuration, backups and infrastructure maintenance will be handled by Vivina Solutions according to the applicable service plan.

4. Branch and Route License

The software pricing is based on the branch and route configuration agreed at the time of purchase.

The standard license includes:

One (1) Branch with up to Six (6) Routes.

The client may use the software for the licensed branch and the included six routes.

Additional Routes

If the client requires routes beyond the included six routes, the additional routes will be chargeable separately according to the prevailing pricing of Vivina Solutions.

The additional route charge must be paid before the additional route is activated.

Additional Branches

Any new branch created after the original licensed branch will be considered an additional branch and will be chargeable separately.

Each additional branch may have its own applicable route limits, setup charges, configuration charges, training charges and service charges.

Vivina Solutions reserves the right to revise additional branch and route pricing from time to time.

5. Software Activation

Software activation is subject to confirmation of the applicable payment and license terms.

Vivina Solutions may restrict or suspend activation where:

Payment is pending
AMC/service renewal has expired
Server renewal is pending
The client violates the software license
Unauthorized access or modification is detected
The client breaches these Terms & Conditions

6. AMC – Annual / Monthly Maintenance

AMC (Annual Maintenance Contract) is a separate service arrangement unless specifically included in the quotation.

AMC may be offered on a monthly or yearly basis, depending on the selected service plan.

AMC may include applicable services such as:

Basic software support
Technical assistance
Bug correction for existing functionality
Software maintenance
Application monitoring
Routine technical support
Server/application maintenance as applicable to the selected plan

The exact services included under AMC will be determined by the quotation or service plan issued by Vivina Solutions.

7. Server Renewal Charges

Server/hosting renewal is a separate operational cost where applicable.

Server renewal charges may include:

Server/hosting renewal
Infrastructure charges
SSL/domain-related services where applicable
Backup/storage requirements
Required infrastructure services

These charges may be payable monthly or yearly depending on the applicable service arrangement.

Failure to renew required server/infrastructure services may result in interruption or suspension of software availability.

8. Non-Refundable Payments

All software license fees, setup fees, branch fees, route fees, AMC payments, server/service payments, customization charges, training charges and other amounts paid to Vivina Solutions are non-refundable once the applicable service, license, configuration, activation, development or allocation has commenced, except where otherwise required by applicable law or expressly agreed in writing.

Software usage for only a short period does not create an automatic right to a refund.

For example, if the client purchases the software and uses it for one month, fifteen days, or any other period, the amount paid will not automatically become refundable.

9. Software Termination

If the client terminates, discontinues or stops using ChitPro for any reason after activation, the amount already paid will not be refundable, subject to applicable law and the written agreement.

Termination of the software service does not transfer ownership of the software, source code, database, server or intellectual property to the client.

Any outstanding dues payable to Vivina Solutions remain payable even after termination.

10. Existing Functionality and Bug Fixes

Basic bug correction for existing, already-approved functionality may be provided without additional development charges, subject to the applicable AMC/service arrangement.

A bug means a technical defect where an existing feature does not operate substantially according to the agreed functionality.

The following are not automatically considered bugs:

New requirements
New reports
New calculations
New business rules
Changes in existing business logic
New screens
New dashboards
New fields
New APIs
New integrations
Changes requested because of a change in business policy
Third-party service changes
Changes in government/regulatory requirements
Client-requested workflow changes

Such requirements may be treated as new development/customization and may be chargeable.

11. New Features and New Logic

Any new feature or change to existing functionality requested after the original software scope has been finalized may be chargeable.

Examples include:

New reports
New accounting logic
New collection logic
New auction logic
New payroll logic
New approval workflows
New dashboards
New mobile features
New integrations
New API requirements
New notification systems
New calculations
Changes to existing reports
Changes to existing business rules
Changes requested due to the client's internal process changes

The development charge will be determined after reviewing the requirement.

Development will begin after the client approves the quotation where applicable.

12. Change Requests

A requirement that was not included in the originally agreed scope may be treated as a Change Request (CR).

Vivina Solutions may:

Review the requested change.
Determine its technical feasibility.
Estimate development time and cost.
Provide a quotation.
Begin development after the applicable approval/payment.

The client shall not assume that a requested modification is included in AMC merely because it relates to an existing screen or module.

13. Third-Party Services

ChitPro may depend on third-party services such as:

SMS providers
WhatsApp services
Payment gateways
Email services
Cloud services
Hosting providers
Google services
Apple services
Android services
Other external APIs

Third-party charges, policy changes, service interruptions, API changes or service termination are outside the direct control of Vivina Solutions.

Any third-party subscription or usage charges shall be borne by the client unless specifically included in a written quotation.

14. Data Responsibility

The client is responsible for the accuracy and legality of data entered into ChitPro.

The client must ensure that:

Customer information is accurate.
Employee information is accurate.
Financial transactions are correctly entered.
Authorized personnel have appropriate access.
User passwords are protected.
Data is used in accordance with applicable laws.

Vivina Solutions will provide reasonable technical support for software-related issues according to the applicable service arrangement.

15. User Accounts and Security

The client must keep all user credentials confidential.

The client is responsible for activities performed through its authorized user accounts.

The client must immediately notify Vivina Solutions if it suspects:

Unauthorized access
Credential compromise
Suspicious activity
Unauthorized use of the software

The client shall not share administrative credentials with unauthorized persons.

16. Software Security

The client shall not attempt to bypass, disable or interfere with:

Authentication
License validation
Security mechanisms
Server restrictions
API authentication
Access controls
Database protections
Application security controls

Any unauthorized attempt may result in suspension or termination of the software license.

17. Intellectual Property

All intellectual property relating to ChitPro, including but not limited to:

Software source code
Application architecture
Database design
APIs
UI/UX designs
Algorithms
Reports
Internal business logic
Documentation
Proprietary configurations
Software improvements

remains the property of Vivina Solutions unless specifically transferred through a separate written agreement.

Payment for software usage does not by itself transfer intellectual property ownership.

18. No Resale or Unauthorized Sharing

The client may not:

Resell ChitPro
Rent or sublicense ChitPro
Provide ChitPro to another company
Copy ChitPro for another branch/company without authorization
Share server access
Share software credentials with unauthorized third parties
Create a competing product using proprietary ChitPro materials

Additional companies, branches or business entities require separate licensing approval and applicable charges.

19. Service Availability

Vivina Solutions will make reasonable efforts to maintain service availability.

However, temporary interruption may occur because of:

Server failures
Internet/network failures
Data-center problems
DNS problems
Domain issues
Third-party service failures
Scheduled maintenance
Security maintenance
Force majeure events
Government restrictions
Cybersecurity incidents
Circumstances outside the reasonable control of Vivina Solutions

Such interruptions do not automatically create a refund entitlement.

20. Backup and Data Recovery

Backup services, retention periods and restoration services depend on the applicable server/service plan.

The client should not assume that unlimited backup or unlimited historical restoration is included unless expressly stated in the quotation or service agreement.

Data restoration caused by client error, unauthorized modification, accidental deletion or other non-standard requirements may be chargeable.

21. Regulatory and Legal Responsibility

ChitPro is a software management tool.

The client remains responsible for ensuring that its chit fund operations, accounting, taxation, statutory compliance, employee management, customer communications and business practices comply with applicable laws and regulations.

Software functionality should not be considered legal, financial, accounting or regulatory advice.

22. Right to Modify or Improve the Software

Vivina Solutions may improve, update, modify or upgrade ChitPro from time to time.

Updates may include:

Security improvements
Performance improvements
Bug fixes
UI improvements
Technical upgrades
Infrastructure upgrades
Compatibility updates

The timing and method of updates will be determined by Vivina Solutions.

23. Support and Response

Support requests must be raised through the communication/support channels specified by Vivina Solutions.

Priority and response time may depend on the applicable AMC/service plan.

Critical production issues may receive priority over general requests and feature requests.

24. Client Responsibilities

The client agrees to:

Provide accurate information required for configuration.
Cooperate during implementation.
Provide authorized contacts for technical communication.
Maintain proper user access controls.
Pay applicable invoices on time.
Renew AMC/server services when required.
Not interfere with server infrastructure.
Not attempt unauthorized software modifications.
Use the software only for lawful business purposes.

25. Suspension of Service

Vivina Solutions may suspend or restrict service, after reasonable notice where practicable, for:

Non-payment
Expired AMC/service
Expired server/hosting renewal
Unauthorized access
License violation
Software piracy
Attempted source-code extraction
Security threats
Misuse of the platform
Material breach of these Terms & Conditions

26. No Automatic Ownership Transfer

Payment of the software price does not mean that the client owns the software.

The client receives a license/right to use the software according to the agreed scope.

Ownership of ChitPro remains with Vivina Solutions.

27. Commercial Scope

Only the modules, branches, routes, services and features specifically included in the approved quotation are considered part of the agreed commercial scope.

Any item not expressly included may be quoted separately.

28. Agreement and Acceptance

By purchasing, activating, accessing or using ChitPro, the client acknowledges that it has read, understood and accepted these Terms & Conditions and the applicable quotation/service agreement.

Where a separate signed agreement or quotation exists, the specific commercial terms in that agreement will apply to the relevant service.

29. Changes to Terms

Vivina Solutions reserves the right to update these Terms & Conditions when reasonably required due to changes in the software, services, business practices, technology or applicable requirements.

The latest applicable version may be published on the ChitPro website.

30. Governing Law and Jurisdiction

These Terms & Conditions shall be governed by the applicable laws of India.

Any dispute shall first be attempted to be resolved through good-faith discussion between the parties.

If the dispute cannot be resolved amicably, the matter shall be subject to the jurisdiction of the competent courts applicable to the agreed place of jurisdiction specified in the commercial agreement between the parties.

Important:
ChitPro source code, database, server access, backend code, deployment configuration and intellectual property are not included in the standard software license and remain under the control/ownership of Vivina Solutions.

Payment Policy:
Applicable software, setup, development, AMC and service payments are non-refundable once the relevant service/license/development/activation has commenced, subject to applicable law and the written agreement.

Final Authority:
Software scope, bug classification, technical feasibility, security requirements, implementation method and development estimates shall be determined by Vivina Solutions based on the agreed software scope and technical assessment.
